References Used in This Agreement The following user agreement applies to Kim Enders, KimEnders.com, My-Resell-Portal.com, Kcengel Enterprises, 'MRP', 'My Resell Portal' and any individual products or services provided by Kim Enders via KimEnders.com, Original-Eproducts.com and My-Resell-Portal.com. The terms "we", "ours" and "us" may be used interchangeably throughout this agreement to refer to the aforementioned. Access to Our Site, Services and Products If you do not understand and agree to the terms and conditions of this agreement (in whole or in part), you must forfeit/discontinue access to our website, products, services, or resell license to applicable products. Copyrighted Materials This web site and all of its original materials contained within are subject to the protection of US and International copyright laws. Members of My-Resell-Portal.com may not create derivative products or materials based on Kim Enders' works unless they have the prior written permission of Kim Enders. MRP members are, however, allowed to modify salesletters included in MRP eproducts to fit their website. Kim Enders retains the copyright to all of the original eproducts she sales independently or offers resell rights to via KimEnders.com and My-Resell-Portal.com Licensing Restrictions (My Resell Portal) MRP Members agree to abide by all licensing rules and guidelines set forth in writing by Kim Enders regarding the monthly original eproducts provided by My Resell Portal. The resell guidelines are provided prominently within the members' forum and referred to on the welcome page of the members' area. Site users also agree to abide by any and all licensing rules provided for any eproducts provided by third party creators (i.e. users must follow the resell rights for a product made by someone other than Kim Enders but provided through the site.) Anyone who violates My Resell Portal's resell guidelines and licensing restrictions may be: 1) banned from the membership without a refund or pro-rated refund 2) will have their resell license for MRP eproducts permanently revoked 3) will have their resell license for MRP eproducts temporarily revoked while they rectify the problem. All penalties are at the discretion of Kim Enders. Kim Enders will notify violaters of their violation and unless the violation(s) is/are substantial, will give one (1) week to rectify the problem. Lack of response or failure to comply will result in aforementioned penalties. Liability In no event shall Kim Enders, Kcengel Enterprises, or KimEnders.com be held liable for any damages of any nature. In selling any product or utilizing any service/information provided by us, you agree to accept full responsibility for your responsibilities and outcomes. Membership, services and products are provided "as is" and without warranties. Technical Support Kim Enders provides full technical support at her helpdesk for products purchased from her. This means she makes no guarantees and is not required to support products/software sold by resellers. Specific software that is no longer supported by her is detailed at length at her helpdesk. All efforts are made to answer support tickets within three (3) business days but may take longer due to time restrictions. Kim Enders reserves the right to refuse technical support to anyone who submits abrasive, harassing tickets, to anyone that spams the system, and to anyone unwilling to cooperate with the procedures necessary to fix whatever problem is being worked on. Passwords/User ID's (My Resell Portal) After having paid membership fees, users are granted unlimited access to My Resell Portal. Users agree that they will NOT share or distribute their log in information (username and password) in any way. Anyone caught doing this will have their membership terminated without notice or refund. Earnings Disclaimer We make no implications or guarantees that by subscribing to My Resell Portal or purchasing any of the products or services provided at any of Kim Enders sites, users will make money. We are not to be held liable for any losses or damages resulting fromt he use (or mis-use) of any of our products or services. All businesses include an inherent risk of financial loss. Furthermore, a user's success and profits are based on their own efforts, talents and diligence. As such, we cannot guarantee any user's success. By using any of our sites, services or products, you agree not to hold us responsible for your successes or failures with your business. You agree to accept full responsibility for your own actions and business outcomes. Minimum Age Our services, products and site are available only to individuals eighteen (18) years of age or older. No exceptions. By using our site, services and products, you assert that you are at least eighteen (18) years of age or older. Communications for My Resell Portal members By joining My Resell Portal, you give us permission to contact you periodically via email or via the members' forum with regards to your membership and membership news. If you no longer wish to receive communications from us, please do the following: 1) Unsubscribe from the members' updates list 2) Cancel your forum account. Unless you do these two things, you may potentially receive updates from us. We have no way of knowing your preference unless you do one of the two above. Also, if you choose to cancel your membership, please cancel your forum account before doing so! My Resell Portal's Refund Policy At our discretion, we honor a 30-day money back guarantee. In most cases, we refund within three (3) business days or as quickly as possible. My Resell Portal's No Spam Policy We strictly adhere and enforce a NO SPAM policy. This means absolutely no spam in any form! Spam includes (but is not limited to) the sending of email with the primary purpose being commercial advertisement/promotions, especially without the consent of the party to which the email is being sent. Termination These Terms of Use are effective until terminated by either party. You may terminate these Terms of Use by either cancelling your membership or destroying all copies and installations of products and services obtained from us. The agreement will automatically and immediately terminate without notice should you violate any terms of this agreement. Violating our Terms of Service, Copyrights, or any of our licensing restrictions, will result in termination of membership, and forfeiture of all reseller licenses, without notice or refund. Kcengel Enterprises reserves the right to amend this agreement at any time. Please refer back to this page ocassionally to acquaint yourself with any revisions.
